Welcome to RelayDesk, a product provided by Branch Agency Ltd (registered in England and Wales, Company No. 14336157, VAT GB442894076). These Terms and Conditions (“Terms”) govern your access to and use of the RelayDesk platform (“Service”). By using the Service, you agree to be bound by these Terms.

1. Using RelayDesk

You must be at least 18 years old and legally capable of entering into contracts to use RelayDesk. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

2. Your Account

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity under your account, including that of team members you invite.
  • You agree to notify us immediately of any unauthorised use or security breach.

3. Subscription and Payment

RelayDesk is a paid service. By subscribing, you agree to the pricing and billing terms provided to you. Failure to pay may result in suspension or termination of your access.

Unless otherwise agreed in writing, all subscriptions are billed monthly or annually in advance and are non-refundable.

4. Acceptable Use

  • You must not misuse the Service to harass, abuse, or harm others.
  • You must not attempt to reverse engineer, decompile, or copy any part of the Service.
  • You must not upload unlawful, harmful, or infringing content.

5. Intellectual Property

RelayDesk and all related content and software are the intellectual property of Branch Agency Ltd. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription period.

6. Data and Privacy

By using RelayDesk, you agree to our Privacy Policy. You retain all rights to your data. We will only use your data as outlined in the Privacy Policy and as necessary to provide and improve the Service.

You are responsible for ensuring that any data you upload does not violate applicable laws or third-party rights.

7. Availability and Support

We aim to provide high availability of the Service but do not guarantee uninterrupted access. Support response times and SLAs may vary depending on your plan. Outages due to maintenance or third-party services are not considered breaches of these Terms.

8. Termination

  • You may terminate your subscription at any time. Access will continue until the end of the current billing cycle.
  • We reserve the right to suspend or terminate access if you breach these Terms, abuse the service, or cause harm to our platform or reputation.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to loss of data, profits, or reputation.

Our total liability to you shall not exceed the amount paid for the Service in the 12 months prior to the claim.

10. Modifications

We may update these Terms from time to time. We will notify you of any material changes. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
